COLLEGIATE FLYING CLUB, INC. CONSTITUTION AND BY-LAWS Article I - Name The name of this corporation is the Collegiate Flying Club, Inc. Article II - Purpose The purpose of this corporation is to advance aviation knowledge among its members; to enlarge and increase the opportunity for flying by its members; to provide and arrange for the economical use of aircraft for the education -and pleasure of its members; to further aviation in the Commonwealth of Massachusetts; to rent, lease, purchase, hold, sell, and convey such real and personal property as may be necessary or incidental for this purpose. Article III - Ownership This Club is a non-stock corporation owned equally by its flying members. Article IV - Membership Section A - Membership Classes There are two classes of members: flying members and social members. Section B - Eligibility Both classes of membership shall be available without further qualification to undergraduate and graduate students, faculty, and staff of Amherst College, Hampshire College, Mount Holyoke College, Smith College, and the University of Massachusetts at Amherst, and to members of the immediate families of the above. A member in good standing shall be eligible to retain membership upon termination of his/her status as a student, faculty, or staff of one of the above institutions. Section C - Commencement of Membership Social membership commences upon payment of prescribed dues. Flying membership commences upon payment of the prescribed dues, initiation fee, and deposits Article V - Dues, Fees, and Assessments Section A - Dues Dues shall be paid to the Treasurer in amounts currently in effect for flying and social members. Section B - Flying Fees Fees for flying time in Club aircraft shall be paid to the Treasurer in accordance with the currently effective fee schedule. Section C - Dues and Fees in Arrears 1. A flying member's right to operate -Club aircraft shall be suspended during any period during which his dues and/or flying fees are in arrears. 2. A member whose dues are more than one month in arrears shall be ineligible to hold office in the Club. 3. A member whose dues are more than three months .in arrears shall be considered to have resigned from the Club. Section D - Initiation Fees and Assessments 1. Each applicant for flying membership shall pay to the club treasurer a non-refundable initiation fee, the amount of which shall be established by majority vote of flying members. A change in the amount of initiation fee shall not affect existing members. 2. Each flying member, in order to retain flying membership, may be required to pay an additional non-refundable assessment by majority vote, but any new assessment required of a flying member shall be equal to that required at that time of every other flying member. Section E - Deposits 1. Each applicant for flying membership shall pay to the club treasurer a refundable deposit, the amount of which shall be established by majority vote of flying members. 2. Each flying Member, in order to retain flying membership, may be required to pay an additional amount of deposit - by majority vote, but the total deposit required of a flying member shall be equal to that required of every other flying member. Section F - Disbursements of Club Funds Club funds shall be used only in furtherance of the purposes listed in Article II. Article VI - Officers and Directors Section A - Officers The officers of the Club shall be a President, Vice-President, Secretary, Treasurer, Training Officer, Maintenance Officer, Safety Officer, and Clerk, with duties as prescribed below: 1. The President shall preside at all meetings, appoint committees, and exercise general supervision over the affairs of the Club. 2. The Vice-President shall perform the duties of President in the latter's, absence, and shall provide such assistance as requested by the President. 3. The Secretary shall record the minutes of the meetings, conduct the Club's correspondence, and notify members of special meetings or change of date or place of regular meetings. 4. The Treasurer shall handle all cash receipts and disbursements, keep the necessary books of account to record such transactions, and make a financial report at each regular meeting, stating the correct cash balance, a breakdown of receipts and disbursements since the last previous report, any change in amounts receivable or payable since the last previous report, and the names of members whose dues and/or fees are in arrears. 5. There shall be a Training Officer who shall coordinate the educational activities of the club and provide information to members concerning availability of flight training, flight instructors, ground instructors, and rates available to club members. 6. The Maintenance Officer shall have the exclusive responsibility for aircraft maintenance. His duties include investigation of reports of aircraft defects, arranging for aircraft repairs and inspections, determining whether aircraft are airworthy for members to fly, making entries in aircraft and engine log books, and making an operations report at the regular meeting. 7. The Safety Officer shall observe handling and operation of Club aircraft by members, remind members of Club operating rules when necessary, and report violations of Club rules and/or Federal Aviation Regulations at the next meeting. 8. The Clerk shall be responsible for filing corporate reports with state authorities. Section B - Board of Directors The officers shall constitute the Board of Directors of the Club, and shall. be responsible for overall management of Club business, in accordance with policies established by majority vote. Article VII - Elections Section A - Eligibility Eligibility for election to officer positions shall be as follows: 1. President - flying member 2. Vice-President - flying member 3. Secretary - any member 4. Treasurer - any member 5. Training Officer - flying member, or social member who is a certificated flight instructor 6. Maintenance Officer - flying member, or social member who is a certificated flight instructor 7. Safety Officer - flying member, or social member who is a certificated flight instructor 8. Clerk - any member Section B - Procedure for Regular Elections Regular elections for all officers shall be held in March of each year, with the new officers assuming their positions immediately. Written or published notification of this election shall precede this election by one month. Section C - Procedure for Special Elections When an office becomes vacant, a special election for that office shall be held at the next meeting. Section D - Recall An officer may be recalled by a petition signed by two-thirds of the flying members. Article VIII - Meetings Section A - Regular Meetings Regular meetings shall be held as often as the members may elect, and there shall be at least three meetings each semester of the academic year. Section B - Special Meetings The president may call a special meeting at his discretion and must call a Special meeting upon request of five or more flying members. Section C - Announcement of Meetings The secretary shall be responsible for announcing meetings by publication, newsletter, or other appropriate means. Section D - Quorum A minimum of one-third of the flying members shall constitute a quorum. Section E - Minutes Minutes shall be recorded by the secretary or by another member appointed by the presiding officer, and shall include the number of flying members in attendance. Section F - Order of Business The presiding officer shall conduct the meeting according to the following format: Call to order, secretary's report (minutes of the preceding meeting), treasurer's report, reports or announcement by the president or other officers as appropriate, old business, new business, and adjournment. Section G - Voting 1. In matters pertaining to Club aircraft, expenditure of Club funds, fees, assessments, and deposits to be paid by flying members, and other matters of primary concern to flying.members, only flying members shall vote. 2. In matters other than those of primary concern to flying members, each flying and social member shall have an equal vote. Article IX - Flight Operations Section A - Operating Rules 1. Applicable federal, state, and local regulations shall be obeyed at all times. 2. A Club airplane shall not be operated while it is labeled grounded" by the Maintenance Officer. 3. A Club airplane shall be operated only by a qualified flying member in good standing, except that a flying member may obtain instruction from a certificated flight instructor who is not a member. 4. A flying member who is a student pilot shall operate a club airplane in solo flight only as authorized by a certificated flight instructor. 5. A flying member who plans to keep a Club airplane away from the home base overnight shall inform the President or other appropriate officer or member. 6. Flight time shall be recorded in the manner prescribed by the Treasurer at the completion of each flight. 7. The flying members may suspend or expel a member who violates these rules. 8. The flying members may, by majority vote at any meeting., adopt additional rules governing operation of Club aircraft. Section B - Financial Responsibility 1. A flying member operating a Club airplane shall be totally responsible for any damage occurring while the airplane is in his/her custody. 2. A flying member's responsibility shall begin when the airplane is untied or accepted from another member, and continued until it is tied down or turned over to another member. 3. If damage should result from a mechanical defect or other factor beyond the control of the member concerned, the flying members may elect, by majority vote, to share or absorb completely the resulting cost, depending on the circumstances of the individual case. Article X - Amendments Amendments to these bylaws may be proposed at any regular meeting. An affirmative vote of two-thirds of the flying members present at two consecutive meetings shall be required before an amendment shall take effect.
